Terms of Service | Teravexa

These Terms of Service ("Terms") govern your access to and use of Teravexa's websites, applications, and services (collectively, the "Service"). The Service is operated by AI Boss Pty Ltd (ABN 65 685 702 345) trading as Teravexa ("Teravexa," "AI Boss," "we," "us," or "our").

By creating an account, subscribing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity.

1) The Service

Teravexa is an AI Creative Studio that helps you generate images, videos, marketing copy, and related creative assets using artificial intelligence (the "AI Features"). Current AI Features include the Nano Banana image generator, Kling 3 video generator, Veo 3 / Veo 3.1 image-to-video, Sora Pro video, a logo generator, and a suite of marketing tools.

We may modify, update, suspend, or discontinue parts of the Service from time to time (including features, models, templates, and availability), and we may introduce new features, limits, or pricing.

2) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you confirm that you meet this requirement.

3) Accounts and Security

You must provide accurate and complete information and keep it updated.
You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.
You must notify us promptly if you suspect unauthorized access to your account.
We may suspend or terminate your account if we reasonably believe you have violated these Terms or the law, or if your use poses a risk to the Service or others.

4) Free Plan

Teravexa offers a Free Forever plan ($0/month, no time limit, no payment method required) as the entry point to the Service. The Free plan includes:

Up to 5 Nano Banana image generations per month
Access to non-video AI tools at standard free-tier limits
All standard templates

Guest (signed-out) users are limited to 3 generations per day across all tools combined, tracked locally on the device. Video generation tools (Kling, Veo 3 / Veo 3.1, Sora Pro) are not available on the Free plan and require a paid Standard or Gold subscription.

You may upgrade to a paid plan at any time. We do not charge you unless you choose to subscribe and provide a payment method. We may adjust Free plan limits from time to time with reasonable notice.

5) Plans, Subscriptions, and Billing

5.1 Standard Plan — $4.99/month

25 Nano Banana image generations per month
3 Kling video generations per month
5 Veo 3 / Veo 3.1 video generations per month
Access to all non-video AI tools
Priority support

5.2 Gold Plan — $49.90/month

50 Nano Banana image generations per month
15 Kling video generations per month
25 Veo 3 / Veo 3.1 video generations per month
Sora Pro video access (subject to fair-use limits)
Priority support and early access to new features

Video generation tools (Kling, Veo 3 / Veo 3.1, Sora Pro) are strictly limited to paid Standard and Gold subscribers.

5.3 Payment Processing (Stripe)

Teravexa uses Stripe as a third-party payment processor. When you subscribe, you provide payment information through Stripe's secure checkout. Teravexa does not store full payment card details on its own servers. Your use of Stripe is subject to Stripe's terms and privacy practices.

5.4 Authorization and Auto-Renewal

If you subscribe, you authorize Teravexa and Stripe to charge your selected payment method on a recurring monthly basis until you cancel. Subscriptions renew automatically each month unless canceled before the renewal date.

5.5 Failed Payments

If a payment fails, we may retry charging your payment method and may suspend or limit access to paid features until payment is successfully processed. You are responsible for keeping billing details current.

5.6 Taxes

Prices may not include taxes (such as VAT/GST/sales tax) unless stated otherwise. You are responsible for applicable taxes, which may be calculated and collected at checkout where required.

5.7 Price Changes

We may change plan pricing or features and will provide reasonable notice (for example via email or in-app notice). Changes generally take effect on your next renewal unless otherwise required by law.

5.8 Top-Up Packs

Teravexa offers one-time top-up packs (such as Image Boost, Video Starter, and Creator Bundle) that add extra generation uses to your account. Top-up uses:

Are valid for 12 months from the date of purchase.
Do not expire at the end of your monthly billing cycle and roll over month to month within the 12-month window.
Are available regardless of your current plan (including Free Forever).
Are tool-specific (for example, video pack uses cannot be redeemed for image generations) and non-transferable between accounts.
Are non-refundable once consumed.

5.9 Plan Changes

Upgrades take effect immediately, with proration where applicable and usage carry-over from your prior plan within the same billing period.
Downgrades and cancellations take effect at the end of the current billing cycle. You retain paid features until then.

5.10 Invoices and Receipts

Invoices and receipts are available in your account and via Stripe's checkout emails. You are responsible for ensuring your billing details are accurate.

6) Cancellation

You can cancel your Subscription anytime through your account settings or by contacting support at support@teravexa.com. Cancellation stops future renewals. You will retain access to paid features until the end of your current billing period, unless otherwise required by law or stated at checkout.

7) Refunds

Subscription fees and top-up pack purchases are non-refundable, and we do not provide prorated refunds for partial billing periods, except where required by law or explicitly agreed by Teravexa in writing.

8) Acceptable Use

You agree to use the Service lawfully and responsibly. You may not (and may not allow others to):

Violate laws or regulations
Infringe intellectual property, publicity, or privacy rights of others
Upload or generate unlawful, hateful, harassing, sexually exploitative, or deceptive content
Generate non-consensual intimate imagery or realistic impersonations of real people without authorization
Disrupt, interfere with, or attempt to gain unauthorized access to the Service, accounts, or systems
Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law)
Use the Service to conduct security testing without our prior written permission
Use the Service to build or improve a competing product using Teravexa's confidential features, prompts, or materials
Use automated scripts, multiple accounts, or other abusive techniques to inflate Earn program rewards or circumvent plan limits

We may remove content or suspend/terminate accounts for violations.

9) Your Content (Prompts, Generations, Files, and Inputs)

9.1 Ownership

You retain ownership of content you upload, create, prompt, or generate in the Service, including text prompts, source images, generated images and videos, and project files ("User Content"), subject to the underlying rights of any third-party AI provider in their models and to applicable law.

9.2 License to Provide the Service

You grant Teravexa a limited, worldwide, non-exclusive license to host, store, process, reproduce, and transmit your User Content only as needed to:

provide the Service and generate outputs you request,
maintain backups and ensure reliability,
provide support, and
enforce these Terms.

9.3 My Gallery vs. Prompt Gallery

Content saved in your private My Gallery is visible only to you. When you choose to publish a prompt or generation to the public Prompt Gallery, you grant Teravexa and other users of the Service a non-exclusive, worldwide license to view, display, and copy the prompt text within the Service, and you authorize prompt copying under the Earn program (see Section 11).

You may only publish content to the Prompt Gallery if you own or have all necessary rights to the underlying inputs and outputs. You can remove your published content at any time, subject to caching and reasonable propagation delays.

9.4 Responsibility for User Content

You are responsible for your User Content, for ensuring you have all rights necessary to upload and use it, and for ensuring it complies with these Terms and applicable law.

10) AI Features

10.1 AI Outputs May Be Incorrect

AI Features may generate outputs ("Output") that are inaccurate, incomplete, misleading, biased, or inappropriate. You are responsible for reviewing and validating Output before relying on it, publishing it, or sharing it.

10.2 Inputs

Information you provide to AI Features ("Input") may include User Content. You are responsible for ensuring Inputs comply with law and do not violate any third-party rights.

10.3 Model Training and Improvement

Teravexa does not use your User Content, Prompts, or Inputs to train general-purpose AI models without your explicit consent.

We may use aggregated and/or anonymized usage data (such as feature-usage counts, error rates, and performance metrics) to operate, secure, and improve the Service.

10.4 Third-Party AI Providers

Some AI Features are delivered using third-party AI providers, including (without limitation) Google (Gemini, Veo), OpenAI (GPT and Sora), and Kling. Inputs and Outputs may be shared with those providers solely to deliver AI functionality, subject to their terms and applicable law.

You may not use AI Features to deceive others into believing AI-generated Output is exclusively human-created where doing so would be deceptive or unlawful, including in advertising, news, or political contexts.

11) Earn Redemption Program

The Earn program rewards you with in-app points ("pst") when other users copy prompts you publish to the Prompt Gallery. Participation is optional and is governed by the following rules:

Earning rate: 1 prompt copy = 1 pst, subject to a monthly cap of 50 redeemable uses (equivalent to 10,000 pst) per account.
Redemption: pst are redeemable in whole packs only: Image Boost (3,000 pst), Video Starter (1,600 pst), Creator Bundle (8,000 pst). Partial redemptions are not supported.
Bonus uses are tool-specific and cannot be transferred between tools, between accounts, or converted into other rewards.
No cash value: pst have no monetary value, are not currency, are not redeemable for cash or credit, and cannot be sold, gifted, or transferred.
Anti-abuse: Teravexa may invalidate pst earned through scripting, duplicate or fake accounts, artificial prompt copying, coordinated inauthentic behavior, or other abuse, and may suspend accounts engaged in such activity.
Program changes: Teravexa may modify earning rates, caps, redemption thresholds, or discontinue the program at any time with reasonable notice. Unredeemed pst at the time of discontinuation may be forfeited.

12) Templates and Teravexa Materials

The Service, including its software, design, templates, sample prompts, brand assets, and related materials ("Teravexa Materials"), is owned by Teravexa or its licensors and is protected by intellectual property laws.

You may use Teravexa Materials through the Service for your personal or business use as permitted by your plan. You may not sell, license, redistribute, or publish Teravexa templates or prompt libraries as standalone products or collections.

13) Privacy

Our Privacy Policy describes how we collect, use, and share information in connection with the Service and is incorporated into these Terms by reference. If you process personal data through the Service, you are responsible for complying with applicable privacy laws for your use. Teravexa offers a Data Processing Addendum ("DPA") where required for business customers.

14) Third-Party Services

The Service integrates with third-party services (including Stripe and the AI providers listed above). Your use of third-party services is governed by their terms. Teravexa is not responsible for third-party services, outages, or acts/omissions of those providers.

15) Service Availability and Support

We aim to keep the Service available, but we do not guarantee uninterrupted access. Maintenance, updates, model upgrades, and outages may occur. Support response times and "priority support" are defined by plan and may change over time.

16) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERAVEXA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TERAVEXA DOES NOT WARRANT THAT THE SERVICE OR AI OUTPUTS WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED.

17) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERAVEXA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERAVEXA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO TERAVEXA FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some or all of the above may not apply to you.

18) Indemnification

You agree to indemnify and hold harmless Teravexa and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your misuse of the Service, your violation of these Terms, or your violation of law or third-party rights.

19) Termination and Data Retention

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service, users, or third parties.

Upon termination or cancellation, your access to paid features ends at the end of the billing period (unless terminated earlier for cause), and you may lose access to User Content stored in the Service subject to our retention policies described in the Privacy Policy.

20) Governing Law and Venue

These Terms are governed by the laws of Victoria, Australia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Victoria, Australia, and you consent to that jurisdiction and venue.

21) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example via email or in-app notice). Continued use of the Service after the updated Terms take effect means you accept the updated Terms.
